Job Description


Position directly supports the board and committee process by developing strong working relationships and proactive communication channels with all levels of management including CEO, President, Corporate Secretary, Board of Directors and executive leadership. The role requires effective communication skills and an understanding of corporate governance procedures and legal requirements of Board of Directors or similar groups. Responsibilities include meeting planning, preparation, agenda development, meeting materials, managing the board material review process, coordinating travel arrangements and other governance documents. Must be able to work effectively in a consensus-style and collaborative environment that expects and promotes teamwork. Posses the ability to work independently and collaboratively to prioritize and drive forward multiple simultaneous projects. Must be comfortable in a fast-paced, changing environment.


  • Manage board of director and committee meeting material development, review and approval process including collaboration with executive leadership and other key personnel.
  • Manage board of director and committee meeting preparation including collaboration with departments across the enterprise.
  • Manage, plan and develop activities that provide support to the board of directors and committees, including material preparation for the chairman of the board, chief executive officer and the president.
  • Edit executive leadership presentations to recommend changes to achieve corporate goals for agendas, assure grammatical accuracy and adherence to corporate style.
  • Prepare BCBSM CEO, AF Group CEO and board chair briefing meeting materials.
  • Develop materials with the ability to craft messaging for multiple executive leadership audiences.
  • Develop board presentations and reports on business topics that require board review and/or approval.
  • Ability to prioritize and manage multiple projects simultaneously with professionalism, meeting tight deadlines in a high-pressure, fast paced and collaborative environment.
  • Manage the board of director's portal site.
  • Research, analyze and prepare appropriate documents, including draft minutes and summaries for the board of directors and committees, to provide required information necessary to respond to legal interrogatories, executive staff requests or other business purposes.
  • Prepares BCBSM CEO and board chairman briefing meetings.
  • Accurately interprets and communicates board and department protocols and state laws, rules and regulations.
  • Use initiative and independent judgment within established procedural guidelines; develop and implement improved office procedures and technology; organize own work, set priorities and meet critical deadlines.
  • Develop and maintain relationships with Emerging Markets, all business unit and BCBSM partners to maintain alignment, stay informed of issues and business needs that require board review and/or action
  • Attend board director and/or committee meetings and functions, and take initiative to engage in positive and effective communication with board directors and executive staff.
  • Identify and analyze business problems and devise procedures and solutions to the problems.
  • Participate in developing department goals, objectives, processes, procedures and systems.
  • Maintain confidentiality.

    Bachelor's degree in business administration or related field is required. Combinations of relevant education and experience may be considered in lieu of a degree. Continuous learning, as defined by the Company's learning philosophy, is required. Certification or progress toward certification is highly preferred and encouraged.


    Minimum of five years of board related experience or seven years multi-faceted experience in the insurance industry or relevant experience that provides the necessary skills, knowledge and abilities. Ability to demonstrate understanding of board governance practices and protocols. Three years experience in writing and editing presentation materials. Two years experience in recording minutes at corporate level meetings. Broad insurance experience and knowledge of organization, company and departmental policy and procedures highly preferred.

  • Ability to work independently and with limited guidance.
  • Excellent organizational and planning skills with ability to coordinate large volumes of materials and work to concurrent and/or conflicting deadlines.

  • Advanced verbal and written communication and superior interpersonal skills. Portrays the appropriate professional image.
  • Strong critical and strategic thinking skills.
  • Ability to take initiative, make competent decisions and work independently as well as function as a member of the team.
  • Ability to interact with high-level individuals and establish exceptional working relationships with board directors and act as a point of contact on various matters.
  • Excellent organizational skills, ability to prioritize work, handle numerous tasks simultaneously and function under pressure.
  • Advanced user of Word, Excel, PowerPoint and Adobe Acrobat and preferably board portal software.
  • Ability to perform assignments at locations outside the office.
  • Ability to use diplomacy, discretion and appropriate judgment.
  • Ability to proofread documents for accuracy of spelling, grammar, punctuation and format.
  • Ability to solve practical problems and deal with a variety of variables in situations where only limited standardization exists.
  • Ability to comprehend consequences of various situations and make appropriate individuals aware of it for decision-making.
  • Ability to exchange information clearly and concisely and to present ideas, report facts and other information.
  • Demonstrated ability to maintain confidentiality.


    Work is performed in an office setting with no usual hazards. Work schedule can be irregular depending on the work necessary to complete. Travel is occasionally required with some overnight stays.
